Tremhost Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the products and services provided by Tremhost (“Tremhost”, “we”, “us”, “our”). They form a binding agreement between you (“you”, “the Customer”, “the Client”) and Tremhost.
By creating an account, placing an order, or using any Tremhost service, you confirm that you have read, understood, and agree to these Terms, together with our [Acceptable Use Policy], [Privacy Policy], and [Refund Policy], which are incorporated by reference. If you do not agree, do not use our services.
1. Definitions
- “Services” means web hosting, reseller hosting, VPS, dedicated servers, email hosting, domain registration, software licenses, and any other product or service Tremhost provides.
- “Account” means the client account you register with Tremhost to order and manage Services.
- “Content” means any data, files, code, text, images, email, or other material that you or your end users upload, store, transmit, or publish through the Services.
- “AUP” means our Acceptable Use Policy.
2. Eligibility and Account Registration
2.1 You must be at least 18 years old, or the age of majority in your jurisdiction, and able to enter into a binding contract.
2.2 You agree to provide accurate, current, and complete information when registering and to keep it up to date. Providing false or misleading information may result in suspension or termination.
2.3 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account. Notify us immediately of any unauthorised use or security breach.
2.4 Each Account is for the registered Customer. You may not transfer or assign your Account without our prior written consent.
3. Services
3.1 We will provide the Services you order with reasonable skill and care and in accordance with these Terms.
3.2 Service descriptions, specifications, and resource allocations are set out on our website or in your order. We may modify, improve, or discontinue features, provided we do not materially reduce the core Service you have paid for during your current billing term.
3.3 Shared resources and fair use. Shared hosting and reseller hosting operate in a shared environment. You agree to use resources (CPU, memory, processes, storage, bandwidth, inodes) reasonably and within any limits stated for your plan. We may throttle, suspend, or require an upgrade where your usage degrades service for other customers.
4. Fees, Billing, and Renewals
4.1 You agree to pay all fees for the Services at the prices in effect when you order, plus any applicable taxes.
4.2 Renewals. Unless cancelled before the renewal date, Services renew automatically for the same term, and you authorise us to charge the applicable renewal fee. It is your responsibility to cancel in advance through your client area or by contacting us if you do not wish to renew.
4.3 Non-payment. If payment is not received by the due date, we may suspend the Services. Continued non-payment may result in termination and deletion of data. Reactivation may require payment of outstanding amounts and a [reinstatement fee].
4.4 Price changes. We may change prices. Changes apply from your next renewal; we will give you reasonable notice before a renewal at a changed price.
4.5 Refunds. Refunds are governed solely by our [Refund Policy]. In summary, eligible hosting services carry a 7-day money-back guarantee, while domains, licenses, and any service used for more than 7 days are non-refundable.
5. Customer Responsibilities and Content
5.1 You are solely responsible for your Content and for the conduct of any end users you permit to use your Services (including, for resellers, your own customers).
5.2 You represent that you have all necessary rights to your Content and that it does not infringe the rights of any third party or breach any law.
5.3 Backups. You are responsible for maintaining your own independent backups of your Content. Any backup service we provide is offered as a convenience only, is not guaranteed, and must not be relied upon as your sole backup. Tremhost is not liable for any loss of data.
5.4 You are responsible for keeping your applications, themes, plugins, and other software up to date and secure. You remain responsible for the security of your Account and Content.
6. Acceptable Use and Prohibited Activities
6.1 Your use of the Services must comply with our [Acceptable Use Policy] and all applicable laws.
6.2 Without limiting the AUP, you must not use the Services to host, transmit, or facilitate:
- Spam, unsolicited bulk email, or any activity that gets our network blocklisted
- Malware, phishing, fraud, or other malicious code or schemes
- Content that is illegal, infringing, defamatory, or that violates third-party rights
- Child sexual abuse material or any content exploiting minors
- Hate speech, incitement to violence, or harassment
- Unauthorised access, network scanning, denial-of-service activity, or other abuse
- High-yield investment programmes (HYIPs), Ponzi schemes, or similar financial fraud
- Activity that consumes excessive shared resources or otherwise harms our infrastructure or other customers
6.3 We may investigate suspected violations and cooperate with law enforcement where required by law.
7. Suspension and Termination
7.1 We may suspend or terminate your Services, in whole or in part, with or without notice where:
- You breach these Terms, the AUP, or any applicable law;
- Payment is overdue;
- Your use poses a security, legal, or operational risk to us, our network, or others; or
- We are required to do so by law or by a competent authority.
7.2 Where practicable and where the breach is capable of remedy, we will give you notice and an opportunity to remedy it before suspension or termination.
7.3 You may cancel your Services at any time through your client area or by contacting us. Cancellation does not entitle you to a refund except as set out in the [Refund Policy].
7.4 On termination, your right to use the Services ends and we may delete your Content. Provisions that by their nature should survive termination (including Sections 9–12) will survive.
8. Domain Names
8.1 Domain registrations, renewals, and transfers are subject to the rules of the relevant registry, registrar, and ICANN (or the applicable country-code authority), in addition to these Terms.
8.2 You are responsible for ensuring your domain registration details are accurate and for renewing domains on time. We are not liable for the loss, expiry, or non-renewal of a domain.
8.3 Domain fees are non-refundable, as set out in the [Refund Policy].
9. Service Availability and Disclaimers
9.1 We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. Any uptime commitment and related service credits, where offered, are set out in our [Service Level Agreement].
9.2 To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.3 We are not responsible for failures, delays, or losses caused by factors outside our reasonable control, including third-party providers, networks, hardware, or your own software and configurations.
10. Limitation of Liability
10.1 To the maximum extent permitted by law, Tremhost will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Services or these Terms.
10.2 To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services in any 12-month period will not exceed the total amount you paid to us for the affected Service in the [12] months preceding the event giving rise to the claim.
10.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Tremhost, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and reasonable costs (including legal fees) arising out of or related to your Content, your use of the Services, or your breach of these Terms, the AUP, or any law.
12. Data Protection and Privacy
12.1 We process personal data in accordance with our [Privacy Policy] and applicable Zimbabwean data-protection and cyber law, including the Cyber and Data Protection Act, as well as any other data-protection laws applicable to you.
12.2 Where you process personal data of your own end users through the Services, you are responsible for doing so lawfully and for any required notices or consents.
13. Intellectual Property
13.1 All intellectual property rights in the Services, our website, and our branding remain with Tremhost or our licensors. These Terms do not grant you any rights in them except the limited right to use the Services as permitted.
13.2 You retain all rights in your Content. You grant us the limited right to host, store, and transmit your Content as necessary to provide the Services.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a revised “Last updated” date and, for material changes, give reasonable notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
15.1 These Terms are governed by the laws of Zimbabwe, without regard to conflict-of-law principles. [Confirm with legal counsel, especially for international customers.]
15.2 The courts of Zimbabwe will have jurisdiction over any dispute, subject to any mandatory consumer-protection rights you may have in your own jurisdiction. [Confirm.]
15.3 Before commencing formal proceedings, you agree to contact us first so we can try to resolve the matter informally.
16. General
16.1 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
16.2 Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
16.3 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
16.4 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
16.5 Entire agreement. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and Tremhost regarding the Services.
